Definitions
Please read these Terms carefully before using the Service.
For purposes of these Terms:
- Account means the individual sign-in a person uses to access the Service.
- Affiliate means an entity that controls, is controlled by, or is under common control with a party, where control means owning 50% or more of the shares or other interests entitled to vote for directors or other managing authority.
- Company (also “we”, “us”, or “our”) means VibeLogic.
- Organization means the shared workspace in the Service that holds a customer’s members, linked properties, and Subscription.
- Service means the Querylitics application and website, available at https://app.querylitics.com.
- Subscription means the paid plan an Organization holds to use the Service.
- Terms means these Terms of Service, which form the entire agreement between You and the Company about the Service.
- Your Data means the Search Console data the Service retrieves for the properties You link, together with what You create in the Service, such as reports, keyword tags, and URL segments.
- You means the individual using the Service, or the company or other legal entity on whose behalf that individual uses it.
Acknowledgment
These Terms govern Your use of the Service and are the agreement between You and the Company. They set out the rights and obligations of everyone who uses the Service.
By accessing or using the Service, You agree to be bound by these Terms. If You do not agree with any part of them, You may not use the Service.
If You use the Service on behalf of a company or other legal entity, You confirm that You have the authority to accept these Terms for it.
You confirm that You are at least 18 years old. The Service is not available to anyone under 18.
Your use of the Service is also subject to our Privacy Policy, which explains what information we collect and how we use it. Please read it before using the Service.
Accounts and organizations
Your Account
The information You give us when creating an Account must be accurate, complete, and kept up to date. Giving inaccurate information is a breach of these Terms and may lead to Your Account being closed.
You are responsible for keeping Your sign-in credentials secure and for everything done through Your Account. Do not share Your credentials. Tell us promptly if You become aware of any unauthorized use of Your Account.
Organizations
The Service is used through Organizations. An Organization’s administrators can invite and remove members, link properties, and manage the Subscription. Administrators are responsible for the people they invite and for the access they give them.
Removing a member ends that person’s access to the Organization. It does not close their Account.
Subscriptions and billing
Using the Service requires a Subscription. Subscriptions are billed monthly, in advance, in US dollars, and renew automatically each month until cancelled.
What You pay for
A Subscription covers the Organization’s seats, which are its active members, and its linked domains, along with any higher reporting tier the Organization chooses. The current prices are shown at checkout and in the Organization’s settings.
Adding a member, linking a domain, or moving to a higher tier increases the fee. The increase is charged immediately, prorated for the rest of the billing period. Removing a member or a domain reduces the fee, and the prorated difference is credited toward future invoices.
Payment
Payments are processed by Stripe. By subscribing, You authorize us to charge Your chosen payment method, through Stripe, for all fees due under Your Subscription. Fees do not include taxes, and You are responsible for any taxes that apply.
If a payment fails, access to the Service is suspended until the payment is made. A failed payment that is not resolved also starts the deletion period described under “Cancellation and data deletion” below.
Refunds
Apart from the prorated credits described above, fees are non-refundable except where the law requires otherwise. We do not refund or credit unused time or unused allowances.
Price changes
We may change our prices. We will give You at least 30 days’ notice before a new price applies to Your Subscription.
Cancellation and data deletion
You can cancel Your Subscription at any time through the billing portal in the Organization’s settings. Cancellation takes effect as shown in the billing portal when You cancel.
A Subscription lapses when it is cancelled, or when a payment fails and is not resolved. When a Subscription lapses:
- access to the Service is suspended for the Organization;
- 7 days later, we permanently delete Your Data for that Organization; and
- we email the Organization’s administrators before the deletion takes place.
Bringing the Subscription back into good standing before the deletion date stops the deletion. Once Your Data has been deleted it cannot be recovered.
Export anything You want to keep before Your Subscription ends. Exports are not available while access is suspended.
Usage allowances
Every Subscription includes a storage allowance and a reporting allowance. The Organization’s settings show how much of each has been used.
Storage
If an Organization stays over its storage allowance for 14 days, the daily sync of new Search Console data pauses. Data already stored stays available, and syncing resumes once the Organization is back within its allowance. We email the Organization’s administrators when the allowance is nearly used, when it is reached, and when syncing pauses.
Reporting
When the reporting allowance for a billing period is used up, new reports cannot be run until the period resets or the Organization’s allowance is increased.
Google Search Console access
To bring a property into the Service, You add our service account to that property in Google Search Console as a restricted user, which gives it read-only access.
By doing so, You confirm that You own the property or that its owner has authorized You to grant this access.
We use this access only to retrieve search performance data for the properties You link. We may also fetch the public robots.txt and sitemap files of a linked site, and look up its DNS records to verify ownership of the domain.
You can withdraw access at any time by removing the service account in Search Console. This stops new data from syncing. It does not delete data that is already stored.
The Service relies on Google’s services, which are outside our control. Google’s own terms apply to Your use of Search Console. We are not affiliated with or endorsed by Google.
Your Data
You own Your Data. We do not claim any ownership of it.
You give us permission to host, copy, process, and display Your Data only as needed to provide, maintain, and support the Service for You.
You are responsible for Your Data and for having the rights needed to provide it to us.
While Your Subscription is in good standing, You can export Your reports at any time. We take care to protect Your Data, but no service can promise that data will never be lost. Keep Your own copy of anything important.
Acceptable use
You agree not to:
- use the Service to break any law or to infringe anyone’s rights;
- link a property that You are not authorized to access;
- access, or try to access, the data or Accounts of another Organization;
- probe, scan, or test the Service for vulnerabilities, or get around its security measures or usage limits;
- interfere with or disrupt the Service, including by introducing malware or placing an unreasonable load on it;
- reverse engineer, decompile, or copy the Service, except where the law allows it;
- resell or sublicense the Service, or provide it to anyone outside Your Organization; or
- access the Service by automated means other than the features we provide.
We may suspend access to the Service if these rules are broken.
Intellectual property
The Service and its original content, features, and functionality, apart from Your Data, are and remain the exclusive property of the Company and its licensors. The Service is protected by copyright, trademark, and other laws.
While Your Subscription is in good standing, we give You a limited, non-exclusive, non-transferable, revocable right to use the Service for Your own business purposes, subject to these Terms.
Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
Copyright complaints
If You believe that material in the Service infringes Your copyright, email us at info@vibelogic.com with:
- a description of the copyrighted work;
- where in the Service the material appears;
- Your name, address, telephone number, and email address;
- a statement that You believe in good faith that the use is not authorized by the copyright owner, its agent, or the law; and
- a statement that the information in Your notice is accurate and that You are the copyright owner or are authorized to act for the owner.
We will review the notice and take the action we consider appropriate, which may include removing the material.
Feedback
If You send us feedback, ideas, or suggestions about the Service, You assign all rights in them to the Company. If that assignment is not effective for any reason, You give the Company a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right to use, reproduce, disclose, sublicense, distribute, modify, and exploit them without restriction.
Links to other websites
The Service may link to websites or services that the Company does not own or control.
The Company has no control over, and takes no responsibility for, the content, privacy policies, or practices of any third-party website or service. The Company is not liable for any damage or loss caused by, or connected with, the use of any content, goods, or services available through them.
We recommend reading the terms and privacy policy of any third-party website or service You visit.
Termination
We may suspend or terminate Your Account, or an Organization’s access, immediately and without prior notice or liability, for any reason, including a breach of these Terms.
When access is terminated, Your right to use the Service ends immediately.
You may stop using the Service at any time. Stopping does not end a Subscription by itself: to stop being billed, cancel the Subscription through the billing portal.
The parts of these Terms that by their nature should continue after termination do continue, including those on ownership, disclaimers, and limits of liability.
Limitation of liability
Whatever damages You may incur, the entire liability of the Company and its suppliers under these Terms, and Your exclusive remedy, is limited to the amount You actually paid through the Service, or 100 USD if You have not purchased anything through the Service.
To the maximum extent the law permits, neither the Company nor its suppliers will be liable for any special, incidental, indirect, or consequential damages of any kind. This includes damages for loss of profits, loss of data or other information, business interruption, personal injury, or loss of privacy, arising from or related to the use of or inability to use the Service, third-party software or hardware used with the Service, or any provision of these Terms. It applies even if the Company or a supplier has been told that such damages are possible, and even if a remedy fails of its essential purpose.
Some states do not allow implied warranties to be excluded, or liability for incidental or consequential damages to be limited, so some of these limits may not apply to You. In those states, each party’s liability is limited to the greatest extent the law permits.
“AS IS” and “AS AVAILABLE” disclaimer
The Service is provided “AS IS” and “AS AVAILABLE”, with all faults and defects, and without warranty of any kind. To the maximum extent the law permits, the Company, on its own behalf and on behalf of its Affiliates and their licensors and service providers, disclaims all warranties relating to the Service, whether express, implied, statutory, or otherwise. This includes all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from a course of dealing, course of performance, usage, or trade practice.
The Company does not warrant that the Service will meet Your requirements, achieve any intended result, work with any other software or service, run without interruption, meet any performance or reliability standard, or be free of errors, or that any errors can or will be corrected.
Neither the Company nor any of its providers makes any representation or warranty:
- about the operation or availability of the Service, or the information and content in it;
- that the Service will be uninterrupted or error-free;
- about the accuracy, reliability, or currency of any information provided through the Service, including Search Console data, which originates from Google; or
- that the Service, its servers, or emails sent by or for the Company are free of viruses, malware, or other harmful components.
Some jurisdictions do not allow certain warranties to be excluded, or a consumer’s statutory rights to be limited, so some or all of these exclusions may not apply to You. Where that is the case, they apply to the greatest extent enforceable under the law.
Governing law
The laws of New Jersey, excluding its conflict of law rules, govern these Terms and Your use of the Service. Your use of the Service may also be subject to other local, state, national, or international laws.
Dispute resolution
If You have a concern or dispute about the Service, You agree to try first to resolve it informally by contacting us.
For European Union users
If You are a consumer in the European Union, You benefit from any mandatory provisions of the law of the country where You live.
United States legal compliance
You represent and warrant that:
- You are not located in a country that is subject to a United States government embargo, or that the United States government has designated as a “terrorist supporting” country; and
- You are not on any United States government list of prohibited or restricted parties.
Severability and waiver
Severability
If any provision of these Terms is held to be unenforceable or invalid, it will be changed and interpreted to achieve its purpose to the greatest extent the law permits. The remaining provisions continue in full force and effect.
Waiver
If a party does not exercise a right or require an obligation to be performed under these Terms, that does not affect its ability to do so later. Waiving one breach does not waive any later breach.
Changes to these Terms
We may change or replace these Terms at any time, at our sole discretion. If a change is material, we will make reasonable efforts to give at least 30 days’ notice before the new terms take effect. We decide, at our sole discretion, what counts as a material change.
By continuing to use the Service after a change takes effect, You agree to the revised Terms. If You do not agree to them, stop using the Service and cancel Your Subscription.
